End User License Agreement

The short version. Custom code we build for you becomes yours when you pay the final invoice. Wyohost-owned tools (themes, plugins, libraries we’ve built ourselves) are licensed to you for use on your own sites — not for redistribution. Third-party components keep their own licenses.

1. Definitions

  • Software means any software, theme, plugin, library, script, configuration, or code that Wyohost makes available to you under this Agreement.
  • Wyohost-Owned Software means Software developed by Wyohost outside the scope of a specific client engagement, including reusable internal tooling.
  • Custom Software means Software developed by Wyohost for a specific Client under a written statement of work or proposal.
  • Client means the person or entity to whom Software is delivered.

2. Scope & acceptance

This Agreement governs your use of all Software delivered by Wyohost. Installing, accessing, or using the Software constitutes your acceptance. If you do not accept, do not use the Software.

3. License grant

Subject to your payment in full and ongoing compliance with this Agreement, Wyohost grants you a non-exclusive, non-transferable, royalty-free license to install, configure, and use the Software for your internal business purposes on the websites or systems described in your statement of work.

4. Client work & ownership

Custom Software developed specifically for you becomes your property upon receipt of final payment, except for: (a) Wyohost-Owned Software incorporated into the deliverable; (b) third-party components subject to their own license; and (c) anything specifically excluded in your statement of work.

Wyohost retains a perpetual, royalty-free license to retain and reuse non-confidential, generic patterns, methodologies, and know-how developed during the engagement.

5. Third-party components

The Software may include open-source or commercial third-party components — for example WordPress, Elementor, n8n, Cloudflare Workers, npm packages, fonts, icons, or AI model APIs. Those components remain subject to their own license terms, which are not modified by this Agreement and which take precedence over this Agreement to the extent they conflict.

6. Restrictions

Unless we expressly agree otherwise in writing, you may not:

  • resell, sublicense, distribute, or publicly publish Wyohost-Owned Software as a standalone product;
  • remove or obscure copyright, trademark, or attribution notices in the Software;
  • use the Software to provide a competing service to third parties under your own brand without a separate written license; or
  • reverse engineer, decompile, or attempt to derive source code from compiled or obfuscated portions of Wyohost-Owned Software.

7. Updates & support

This Agreement does not by itself entitle you to ongoing updates, security patches, or support for the Software. Those services are provided under a separate care plan or maintenance agreement. See Hosting & Maintenance Terms.

8. Warranty & disclaimer

Wyohost warrants that, for thirty (30) days following delivery, Custom Software will materially conform to the written specifications in your statement of work. Your sole remedy for breach of this warranty is, at Wyohost’s option, repair or refund of the affected portion of fees paid.

EXCEPT FOR THE EXPRESS WARRANTY ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WYOHOST’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE FEES YOU PAID TO WYOHOST FOR THE SPECIFIC SOFTWARE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WYOHOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Termination

This Agreement is effective until terminated. Wyohost may terminate the license to Wyohost-Owned Software immediately if you materially breach this Agreement and fail to cure the breach within thirty (30) days of written notice. Upon termination you must cease using and destroy all copies of the affected Software. Sections that by their nature survive termination will survive.

11. Governing law

This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Disputes shall be resolved exclusively in the state or federal courts located in Park County, Wyoming.
